1. Definitions & Interpretation
1.1 “Services” means the work provided by Ace Contractors as outlined in quotes, proposals, or our website.
1.2 “Client” means any individual, company, landlord, estate manager, or organisation receiving services.
1.3 “Contract” refers to the agreement formed when a quote is accepted or work is commissioned.
1.4 Headings are for reference only and do not affect interpretation.
2. Services & Scope
2.1 We provide professional property, grounds, environmental, and pest control services.
2.2 Services are carried out by trained, insured personnel, using reasonable skill and care.
2.3 Any additional services outside the original scope require a written variation and agreement.
2.4 Service timelines are estimates and may vary due to weather, access, or unforeseen circumstances.
Service-Specific Disclaimers:
- Pest Control: We use best-practice eradication, but complete elimination or prevention of pests cannot be guaranteed.
- Garden & Environmental Works: Growth, weather, and natural factors may affect results. We are not liable for factors beyond our control.
3. Client Responsibilities & Access
3.1 You must provide safe, reasonable access to the property.
3.2 You must disclose any hazards, asbestos, chemicals, or special site conditions.
3.3 We may suspend or refuse work if access is denied or the site is unsafe.
3.4 You must comply with all property management, lease, or legal obligations affecting service delivery.
4. Quotes, Acceptance & Variation
4.1 Quotes are valid for 30 days unless stated otherwise.
4.2 Acceptance of a quote forms a binding contract under these Terms.
4.3 Quotes are based on information provided; unforeseen work may incur additional charges.
4.4 Variations must be agreed in writing before additional work is undertaken.
5. Payments, VAT & Retention of Title
5.1 Payment is due as per the agreed schedule:
- One-off services: upon completion
- Ongoing contracts: as per invoice terms
5.2 All prices are exclusive of VAT, unless stated.
5.3 Late payments may incur interest at UK statutory rate plus 2% per month.
5.4 Goods supplied remain the property of Ace Contractors until payment is received in full (Retention of Title).
6. Subcontracting & Third Parties
6.1 We may subcontract services to qualified third parties without affecting your obligations.
6.2 Subcontractors are bound by our standards, insurance, and safety obligations.
7. Health, Safety & Environmental Obligations
7.1 Services comply with UK Health & Safety law.
7.2 We follow environmentally responsible practices, including recycling and safe waste disposal.
7.3 You must notify us of hazards, chemicals, or dangerous materials before work.
7.4 We are not liable for damage resulting from undisclosed hazards.
8. Liability
8.1 General Liability: We are fully insured for our services.
8.2 Tiered Liability Limitation:
- Personal injury or death caused by negligence: unlimited liability as per UK law.
- Property damage caused by our negligence: limited to the total value of the services provided.
- Consequential loss, business interruption, or loss of profits: excluded.
8.3 We are not liable for pre-existing damage, natural factors, or unforeseen events affecting results.
9. Indemnity
You agree to indemnify and hold harmless Ace Contractors, its employees, subcontractors, and agents from any claims, damages, or costs arising from:
- Unsafe conditions, undisclosed hazards, or breach of these Terms
- Non-compliance with laws or regulations
- Misuse of services or property
10. Cancellations, Termination & Suspension
10.1 One-off services may be cancelled with 24 hours’ notice; late cancellations incur 50% of the quoted amount.
10.2 Ongoing contracts require 30 days’ written notice.
10.3 We may terminate services immediately if:
- You breach these Terms
- Access is denied or unsafe
- Payments are overdue by more than 14 days
10.4 Services may be suspended due to safety, weather, or regulatory requirements without liability.
11. Force Majeure
11.1 We are not liable for delays or failures caused by circumstances beyond our reasonable control, including:
- Natural disasters, fire, flood, storm, or severe weather
- Strikes, industrial action, or supply chain issues
- Government actions, regulations, or
- COVID/pandemic-related restrictions
- Acts of third parties outside our control
12. Intellectual Property
12.1 All website content, marketing materials, images, proposals, and reports are owned by Ace Contractors Group.
12.2 You may not copy, reproduce, or distribute content without written permission.
13. Privacy & Electronic Communication
13.1 We comply with UK GDPR and our Privacy Policy, which governs how your personal data is collected, stored, and used.
13.2 You consent to emails, SMS, WhatsApp, or other communications related to services and marketing.
13.3 You may withdraw consent at any time by contacting us.
14. Complaints, Dispute Resolution & Governing Law
14.1 Complaints must be submitted in writing to info@acecontractors.co.uk.
14.2 We will respond within 5 working days and seek resolution promptly.
14.3 Disputes shall first be attempted through mediation, failing which they will be subject to the exclusive jurisdiction of the courts of England and Wales.
14.4 These Terms are governed by the laws of England and Wales.
15. General Provisions
15.1 If any provision is invalid, the remaining provisions remain enforceable.
15.2 These Terms constitute the entire agreement and supersede any prior agreements.
15.3 Variations are only effective if agreed in writing by both parties.
